Welcome to the Loadindo Driver App, operated by Loadindo Technologies Private Limited (“Loadindo”, “we”, “us”, “our”, the “Company”). These Terms & Conditions (“Terms”) govern your access to and use of the Loadindo Driver mobile application and related services (collectively, the “Platform”). By installing, accessing, registering on, or otherwise using the Platform, you (“Driver”, “you”, “your”) confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. Electronic Record & Legal Notice
This document is an electronic record published in accordance with the provisions of the Information Technology Act, 2000 (the “IT Act”), the rules made thereunder, and the amended provisions pertaining to electronic records in various statutes. This electronic record is generated by a computer system and does not require any physical or digital signature. It is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Rule 4 of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
2. Definitions
- Bid — an offer placed by a Driver against a Load posted by a Vendor on the Platform.
- Commission — the platform fee payable by the Driver to Loadindo to lock an accepted Bid, calculated by truck type and transaction value as displayed in the Platform.
- KYC — the Know-Your-Customer verification process, including verification of Driving License, Aadhaar, PAN, vehicle documents, and truck photographs.
- Load — a consignment posted by a Vendor with origin, destination, truck type, weight, volume, and other shipment details.
- Locked Trip — a trip generated after a Bid is awarded and the Commission has been paid; it constitutes a binding commitment to perform the haulage.
- POD — the Proof of Delivery uploaded as a trip document upon successful delivery.
- Trip — the end-to-end execution of a Locked Trip, progressing through statuses including Confirmed, In Transit to Pickup, Pickup Reached, Loading, Loaded, In Transit to Drop, Drop Reached, Unloading, Delivered, and Completed.
- Vendor — a registered shipper, broker, or logistics manager who posts Loads on the Platform.
3. Acceptance of Terms
By clicking “I Agree”, completing registration, placing a Bid, or otherwise using the Platform, you agree to be bound by these Terms, the Privacy Policy, any pricing pages, and all rules, policies, and notices published on the Platform from time to time. We may amend these Terms at any time by posting the revised version on the Platform; material changes will additionally be notified to you via email or in-app notification. Continued use of the Platform after such notice constitutes acceptance of the amended Terms.
4. Eligibility
- You are at least eighteen (18) years of age and competent to contract under the Indian Contract Act, 1872.
- You hold a valid, non-suspended Driving License of the appropriate class for the vehicle you intend to operate.
- You own, lease, or are duly authorised to operate the vehicle that will perform the Trip.
- You are not barred, debarred, or otherwise prohibited under any applicable law from offering transportation services.
- If registering on behalf of an entity, you represent that you are duly authorised to bind that entity to these Terms.
5. Registration, Account & Communications
You will register with a valid email address and phone number, and create a password meeting the Platform's strength requirements. You are solely responsible for the confidentiality of your login credentials and for all activity carried out under your account. You must notify us immediately of any unauthorised use or security breach. We may grant access to anyone presenting your credentials and disclaim liability for losses arising from your failure to safeguard them.
You consent to receive transactional and service-related communications from us by email, push notification (via Firebase Cloud Messaging), or in-app message. Such electronic records are deemed sufficient notice for all legal purposes under the IT Act.
6. KYC & Driver Verification
Before you can place Bids or operate Trips, you must complete KYC. By submitting documents you authorise us to verify them through authorised third-party APIs, including but not limited to the Unified Logistics Interface Platform (ULIP), Sarathi (driving licence), DigiLocker (Aadhaar and PAN), and other government or licensed verification services.
- Driving Licence: DL number and date of birth are verified via ULIP/Sarathi.
- Aadhaar: Verified via DigiLocker. Only the last four digits of your Aadhaar are stored, in accordance with UIDAI requirements.
- PAN: Verified via DigiLocker.
- Vehicle: You must upload photographs of the vehicle (front, back, left, right, interior, and number plate) and supporting documents such as the Registration Certificate (RC), insurance, fitness, permit, and pollution-under-control certificate.
- Admin Review: All documents are subject to manual review by Loadindo. Until your account status is marked “Verified”, you may not place Bids or accept Loads.
You warrant that all information and documents furnished are true, current, complete, and lawfully yours. We may suspend, reject, or terminate your account at any time for false, expired, forged, or misleading submissions, without prejudice to other remedies.
7. Driver Obligations & Conduct
- Comply at all times with the Motor Vehicles Act, 1988, applicable Central Motor Vehicles Rules, state road-transport rules, and all RTO, traffic police, and municipal regulations.
- Operate only the vehicle declared in your KYC; do not substitute vehicles for a Locked Trip without prior written consent from Loadindo and the Vendor.
- Carry the consignment safely, securely, and without unauthorised diversion, repacking, or transhipment.
- Do not overload the vehicle beyond its permitted capacity or accept loads requiring breach of any law.
- You may refuse any request from a Vendor that would require violation of law; such refusal will not constitute breach of these Terms.
- Drive responsibly — do not operate under the influence of alcohol, narcotics, or any substance impairing fitness to drive.
- Treat Vendor representatives, consignees, loaders, and Loadindo personnel with respect and professional courtesy.
8. Bidding, Locked Trips & Awarded Loads
- You may place Bids on open Loads visible in the Platform. Bids may be subject to a maximum deviation (typically ±20%) from the Vendor's quoted price, as enforced by the pricing module.
- A pending Bid is automatically expired after the Bid validity window (default 24 hours, configurable).
- A Bid becomes a Locked Trip only after the Vendor accepts it and you successfully pay the applicable Commission via Razorpay or any other payment gateway integrated by Loadindo.
- Once a Trip is Locked, you are committed to performing the haulage in accordance with the agreed pickup window, route, and delivery schedule.
- Failure to perform a Locked Trip without lawful excuse may result in unlocking of the Load, Commission forfeiture, account suspension, blacklisting, and recovery of losses suffered by the Vendor or Loadindo.
9. Commissions, Pricing & Payments
- Commission: A platform fee is payable to Loadindo to lock a Trip. The applicable Commission is displayed on the bid review screen and varies by truck type, route, and transaction value.
- Payment Gateway: Commissions and any advance payments are processed through Razorpay or other PCI-DSS compliant gateways. By initiating a payment you accept the gateway's own terms and privacy policy.
- Freight Settlement: Freight payable by the Vendor to the Driver shall be settled in accordance with the agreed pricing flow on the Platform, which may include an advance leg and a final leg. Loadindo facilitates settlement where enabled and is not a party to the underlying carriage contract beyond its role as an intermediary.
- Out-of-pocket charges: Toll, RTO challans, waiting time, night surcharge, parking, labour, detention, and similar charges (where not pre-agreed) are not Loadindo's liability and shall be settled directly between Driver and Vendor or paid by the responsible party as per the booking terms.
- Taxes: You are solely responsible for any income tax, GST, or other tax liability on amounts earned through the Platform.
- Refunds: Commission and advance refunds, where applicable, will be processed back to the source account via the original payment method, typically within 7–14 working days subject to the gateway's timelines.
10. Trip Lifecycle & Proof of Delivery
- You must update Trip status promptly through the Platform as you progress through the pickup, loading, transit, drop, and unloading stages.
- POD documents (signed delivery slip, photo of delivered goods, or e-POD signature, as applicable) must be uploaded through the Platform to mark a Trip as Delivered/Completed.
- Failure to upload POD may delay or forfeit your freight settlement.
- Any deviation, breakdown, accident, or material delay must be reported to the Vendor and Loadindo through the Platform without delay.
11. Background Location Tracking
Live tracking is integral to the Platform. By using the App you grant permission for foreground and background location collection while you have an active Trip, including when the App is closed or running in the background. Location is captured via your device's GPS and may include coarse and fine coordinates, place identifiers, address labels, and timestamps. You agree not to spoof, mask, or otherwise interfere with location services. Tracking is automatically reduced or paused when no Trip is active. Refer to the Privacy Policy for full details.
12. Goods, Liability & Insurance
- You are responsible for the safe custody of the consignment from pickup until delivery, subject to ordinary force majeure events.
- You are required to satisfy yourself that the goods, as represented by the Vendor on the Platform, are not prohibited, restricted, or unlawful. If the actual consignment differs from the declared description, you may refuse loading and report the Vendor through the Platform.
- You must maintain valid third-party and (where applicable) goods-in-transit insurance for the vehicle. Loadindo is not your insurer.
- Claims for loss, shortage, or damage must be reported by the Vendor with notation on the POD at delivery and intimated to Loadindo within forty-eight (48) hours; thereafter, claims may be declined.
13. Cancellation & Refunds
- Open Loads automatically expire after the Load validity window (default 60 minutes, configurable) if no Bid is awarded.
- If a Load is cancelled by the Vendor before you depart for pickup and no detention has occurred, advance payments, where applicable, are auto-refunded via Razorpay; the Commission paid by the Driver is refundable in such cases, subject to the refund-responsibility setting in force at the time.
- If a vehicle has already been dispatched and reached the pickup location, waiting/detention charges and fuel-recovery charges may be levied as displayed on the Platform.
- Driver-initiated cancellation after Trip Lock may result in Commission forfeiture and recovery of any losses caused to the Vendor or Loadindo.
- You agree not to raise chargebacks or disputes directly with the payment gateway in respect of legitimate Commissions or charges. Any such dispute must first be raised with our Grievance Officer.
14. Prohibited Conduct
You agree not to, and not to permit any third party to:
- Use the Platform for any unlawful purpose or in furtherance of any illegal activity.
- Carry contraband, narcotics, weapons, explosives, hazardous goods (without proper declaration and licence), wildlife or protected articles, counterfeit goods, or any consignment whose carriage is restricted by Indian law.
- Impersonate another person, share your account, or operate multiple accounts to game the bidding or commission system.
- Upload viruses, worms, malware, or any code designed to harm, disable, or compromise the Platform.
- Reverse-engineer, decompile, scrape, or otherwise misuse the Platform's APIs, software, or data.
- Defame, harass, threaten, or stalk any Vendor, consignee, fellow Driver, or Loadindo personnel.
- Engage in any conduct prohibited under Sections 43, 65, 66, 66B, 66C, 66D, 66E, 66F, 67, 67A, 67B, 84B, or 84C of the IT Act, or any other applicable law.
15. Intellectual Property
The Platform, including its software, interfaces, layouts, designs, trademarks, logos (including the “Loadindo” mark), and all content other than User-uploaded content, is the exclusive property of Loadindo or its licensors and is protected under Indian and international intellectual-property laws. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the App solely for its intended purpose. You retain ownership of content you upload but grant Loadindo a worldwide, royalty-free, non-exclusive licence to host, reproduce, and display such content for the purpose of operating and improving the Platform.
16. Confidentiality & Non-Solicitation
You shall keep confidential all non-public information about Loadindo, its Vendors, pricing, technology, and operations obtained through use of the Platform. During the term of these Terms and for twenty-four (24) months thereafter, you shall not, directly or indirectly, solicit or attempt to bypass the Platform to transact with any Vendor introduced through Loadindo without first paying the applicable Commission.
17. Suspension & Termination
We may, at our sole discretion and without prior notice, limit, suspend, or terminate your account or restrict access to any feature for reasons including but not limited to: failure or falsification of KYC; non-payment of Commission; breach of these Terms; consistent failure to complete awarded Trips; complaints from Vendors or consignees; suspected fraud; legal or regulatory direction; or risk to the integrity of the Platform. Termination shall not relieve you of accrued obligations, including outstanding Commissions, taxes, or claims.
18. Indemnity
You shall indemnify, defend, and hold harmless Loadindo, its directors, officers, employees, affiliates, and service partners from and against any claim, demand, loss, damage, liability, penalty, or expense (including reasonable attorneys' fees) arising out of or in connection with: (a) your breach of these Terms or any policy referenced herein; (b) your violation of any law or third-party right; (c) your operation of the vehicle or handling of the consignment; (d) any inaccurate information or document submitted by you; or (e) any tax liability assessable against Loadindo that is primarily your legal obligation.
19. Limitation of Liability
To the maximum extent permitted by law, Loadindo, its directors, officers, employees, affiliates, and service partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, or business, arising out of or in connection with the Platform. Loadindo's aggregate monetary liability to you under or in connection with these Terms shall not exceed the higher of (a) the total Commission received by Loadindo from you in the three (3) months preceding the event giving rise to the claim, or (b) INR 5,000. For consignment-related claims where Loadindo has any residual liability after assignment of fault, such liability is capped at INR 5,000 for a full load and INR 2,500 for a part load, or ten percent (10%) of the freight paid (excluding taxes), whichever is lower.
20. Disclaimers
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Loadindo acts as a neutral technology intermediary between Drivers and Vendors and is not a transporter, carrier, freight forwarder, or insurer. We do not warrant that the Platform will be error-free, secure, or free of viruses, and strongly recommend that you maintain anti-malware protection on your device.
21. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent caused by events beyond its reasonable control, including acts of God, pandemic, war, riot, civil disturbance, government action, network or internet outage, road blockade, strike, or other industrial dispute.
22. Governing Law, Jurisdiction & Arbitration
These Terms are governed by, and construed in accordance with, the laws of India. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction. Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by arbitration before a sole arbitrator appointed by Loadindo, conducted in English in Bengaluru, in accordance with the Arbitration and Conciliation Act, 1996. In matters concerning cyber contraventions, jurisdiction shall additionally lie with the Adjudicating Officer under the IT Act.
23. Grievance Redressal
In compliance with the IT Act and the Intermediary Guidelines, the Grievance Officer may be contacted at grievance@ntruck.com. Grievances will be acknowledged within forty-eight (48) hours and resolved within one (1) month of receipt. General support queries may be addressed to support@ntruck.com.
24. General Provisions
- Assignment: You may not assign your rights under these Terms; Loadindo may assign to an affiliate or successor.
- Severability: If any provision is held unenforceable, the remainder shall continue in force.
- Waiver: No failure to enforce a provision shall constitute a waiver of any rights.
- Entire Agreement: These Terms, together with the Privacy Policy and any policies referenced, constitute the entire agreement between you and Loadindo.
- Language: The English version of these Terms shall prevail over any translation.
- Survival: Sections relating to payments, IP, indemnity, confidentiality, limitation of liability, governing law, and arbitration survive termination.
- Headings: Headings are for convenience only and do not affect interpretation.
