Welcome to the Loadindo Vendor App, operated by Loadindo Technologies Private Limited (“Loadindo”, “we”, “us”, “our”, the “Company”). These Terms & Conditions (“Terms”) govern your access to and use of the Loadindo Vendor mobile application and related services (collectively, the “Platform”) used to post Loads and engage Drivers. By installing, accessing, registering on, or otherwise using the Platform, you (“Vendor”, “you”, “your”) confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. Electronic Record & Legal Notice
This document is an electronic record published in accordance with the provisions of the Information Technology Act, 2000 (the “IT Act”), the rules made thereunder, and the amended provisions pertaining to electronic records in various statutes. It is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and Rule 4 of the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
2. Definitions
- Advance Payment — an upfront amount paid to Loadindo (or the Driver via Loadindo, where enabled) by the Vendor at the time of Load award, where the Load is marked as requiring an advance.
- Bid — an offer placed by a Driver against a Load.
- Commission — the platform fee charged to the Driver to lock a Bid; the Commission is not paid by the Vendor.
- Driver — a registered transporter who places Bids and performs haulage of consignments.
- KYC — the Know-Your-Customer verification, including verification of GSTIN, PAN, and (where applicable) MCA records.
- Load — a consignment you post with origin, destination, truck type, weight, volume, commodity, packaging, and any special instructions.
- Locked Trip — a trip generated after you award a Bid and the Driver has paid the Commission.
- POD — the Proof of Delivery uploaded as a trip document upon delivery.
3. Acceptance & Amendments
By clicking “I Agree”, completing registration, posting a Load, or otherwise using the Platform, you agree to be bound by these Terms, the Privacy Policy, the pricing pages, and all rules and notices published on the Platform. We may amend these Terms at any time; material changes will be notified via email or in-app notification. Continued use after such notice constitutes acceptance.
4. Eligibility
- You are at least eighteen (18) years of age and competent to contract under the Indian Contract Act, 1872.
- You are duly registered to carry on business in India, holding a valid GSTIN (where applicable to your turnover), PAN, and any incorporation or partnership registration applicable to your form of business.
- If registering on behalf of an entity (company, LLP, partnership, sole proprietorship), you represent that you are duly authorised to bind that entity to these Terms.
5. Registration & KYC
You will register with a valid email address and phone number, and create a password meeting the Platform's strength requirements. You are solely responsible for the secrecy of your credentials and for all activity under your account. You must complete KYC before posting Loads or awarding Bids. By submitting documents you authorise Loadindo to verify them through authorised third-party APIs, including the Unified Logistics Interface Platform (ULIP), GST taxpayer verification, MCA records (where applicable), and any other licensed verification service.
- GST: GSTIN (15-character alphanumeric) is verified via ULIP/GST taxpayer API. The legal name, trade name, principal place of business, and registration status returned by the API will be retained on your business profile.
- MCA (optional): For body-corporate Vendors, CIN-based verification may be performed via the MCA API.
- Manual Review: Loadindo reserves the right to perform additional checks; until your account is marked “Verified”, you may not post Loads or award Bids.
You warrant that all information and documents furnished are true, current, complete, and lawfully yours. We may suspend, reject, or terminate your account at any time for false, expired, forged, or misleading submissions.
6. Load Posting Obligations
You must:
- Provide accurate and complete information about each Load — including the true description of the goods, weight, volume, packaging, hazardousness, value, pickup and drop locations, time windows, and any special handling, refrigeration, or escort requirements.
- Hold all licences, permits, e-way bills, invoices, and consents required by law for the carriage of the consignment, and produce them at pickup.
- Ensure that the consignor and consignee are duly authorised to dispatch and receive the consignment.
- Not conceal hazardous or restricted goods (including those classified as dangerous goods under the Central Motor Vehicles Rules) under a generic description.
- Not use the Platform to transport contraband, narcotics, weapons, explosives, wildlife, counterfeit goods, currency, or any other consignment whose carriage is prohibited or restricted under Indian law.
Drivers may refuse to load a consignment that materially differs from its declared description, or that would require breach of any law. Such refusal will not entitle you to refund of any non-refundable charges and may result in liability for detention/fuel charges.
7. Bid Acceptance, Locked Trips & Pricing
- You may accept or reject any Bid at your discretion within the Load's validity window (default 60 minutes; configurable).
- Acceptance of a Bid, together with the Driver's payment of the Commission, creates a Locked Trip and constitutes a binding contract for the carriage of the consignment on the terms displayed in the Platform.
- The Bid price set by the Driver is subject to a configured deviation (typically up to ±20%) from your quoted price.
- You may not solicit Drivers off-Platform to bypass these Terms during the term and for twenty-four (24) months thereafter.
8. Payments, Advances & Settlement
- Payment Gateway: Payments are processed through Razorpay or other PCI-DSS compliant gateways. Your use is also subject to the gateway's own terms and privacy policy.
- Advance: Where a Load is marked as requiring an Advance Payment, the Advance must be paid as part of the award flow. Advances are routed via the Platform.
- Final Settlement: The balance freight (after Advance, if any) is payable upon successful delivery and POD upload, in accordance with the agreed pricing on the Platform.
- Out-of-pocket charges: Toll, RTO, parking, labour, detention, night surcharge, waiting time, and similar charges are payable as displayed at the time of award or as recorded on the Platform.
- Taxes: All freight amounts are exclusive of applicable GST, TDS, and other taxes, which are payable in addition by the party legally obligated. You are responsible for issuing or accepting tax-compliant documentation as required.
- No Chargebacks: You agree not to raise chargebacks or disputes directly with the payment gateway for legitimate Advances or charges. Any such dispute must first be raised with our Grievance Officer.
9. Trip Tracking, Confirmation & POD
- You may track the Driver's progress through Trip lifecycle statuses (Confirmed, In Transit to Pickup, Pickup Reached, Loading, Loaded, In Transit to Drop, Drop Reached, Unloading, Delivered, Completed) and via the Driver's location during the active Trip.
- You must promptly confirm receipt of the consignment, sign or otherwise acknowledge the POD, and mark the Trip as Delivered/Completed without unreasonable delay.
- You agree that delay in confirmation may affect freight settlement to the Driver but does not absolve you of payment obligations.
10. Cancellations, Refunds & Claims
- Open Loads: A Load that is not awarded within its validity window automatically expires; any Advance, if pre-collected, will be auto-refunded via the original payment method, subject to gateway timelines (typically 7–14 working days).
- Cancellation by Vendor before dispatch: Where you cancel a Load before the Driver departs for pickup, any Advance is refundable in accordance with the refund-responsibility configuration in force at the time, and waiting/detention charges may apply if accrued.
- Cancellation after dispatch: Where a vehicle has already been dispatched, cancellation may not be possible and the Advance may be non-refundable; per-day waiting/detention charges (typically INR 1,000–5,000 depending on vehicle type) and fuel-recovery charges may be levied.
- Claims for loss / shortage / damage: Must be noted on the POD at the time of delivery and intimated to Loadindo within forty-eight (48) hours through the Platform; thereafter, claims may be declined.
- Goods Insurance: Loadindo strongly recommends that you obtain transit insurance for valuable consignments. Loadindo is not an insurer.
11. Intermediary Role & Driver Conduct
Loadindo is a neutral technology intermediary that facilitates discovery and contracting between Vendors and Drivers. Drivers are independent service providers and are not employees, agents, or partners of Loadindo. We do not directly transport, carry, or store consignments. Subject to the limited residual liability set out in Section 14, you acknowledge that responsibility for the conduct of the haulage, the condition of the vehicle, compliance with traffic and transport law, and the safe delivery of the consignment lies with the Driver.
12. Prohibited Conduct
You agree not to, and not to permit any third party to:
- Use the Platform for any unlawful or fraudulent purpose.
- Post fake or speculative Loads to manipulate Driver behaviour or pricing.
- Operate multiple accounts to evade Loadindo's bidding, pricing, or rating mechanisms.
- Solicit Drivers introduced through Loadindo to transact off-Platform.
- Upload viruses, malware, or any code designed to harm the Platform.
- Reverse-engineer, decompile, scrape, or otherwise misuse the Platform's APIs, software, or data.
- Defame, harass, threaten, or stalk any Driver, consignee, or Loadindo personnel.
- Engage in any conduct prohibited under Sections 43, 65, 66, 66B, 66C, 66D, 66E, 66F, 67, 67A, 67B, 84B, or 84C of the IT Act.
13. Intellectual Property & Confidentiality
The Platform, including its software, interfaces, layouts, designs, trademarks, logos (including the “Loadindo” mark), and all content other than User-uploaded content, is the exclusive property of Loadindo or its licensors. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the App solely for its intended purpose. You shall keep confidential all non-public information about Loadindo, its Drivers, pricing, technology, and operations obtained through use of the Platform.
14. Limitation of Liability
To the maximum extent permitted by law, Loadindo, its directors, officers, employees, affiliates, and service partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, or business, arising out of or in connection with the Platform. Loadindo's aggregate monetary liability to you under or in connection with these Terms shall not exceed the higher of (a) the total amounts received by Loadindo from you (excluding amounts passed through to Drivers and applicable taxes) in the three (3) months preceding the event giving rise to the claim, or (b) INR 5,000. For consignment-related claims where Loadindo has any residual liability after assignment of fault, such liability is capped at INR 5,000 for a full load and INR 2,500 for a part load, or ten percent (10%) of the freight paid (excluding taxes), whichever is lower.
15. Indemnity
You shall indemnify, defend, and hold harmless Loadindo, its directors, officers, employees, affiliates, and service partners from and against any claim, demand, loss, damage, liability, penalty, or expense (including reasonable attorneys' fees) arising out of or in connection with: (a) your breach of these Terms or any policy referenced herein; (b) your violation of any law or third-party right; (c) misdeclaration of the consignment, including its description, weight, or hazardousness; (d) any tax liability assessable against Loadindo that is primarily your legal obligation; or (e) any claim brought by a consignee, consignor, or government authority arising from the Load.
16. Suspension & Termination
We may, at our sole discretion and without prior notice, limit, suspend, or terminate your account or restrict access to any feature for reasons including but not limited to: failure or falsification of KYC; chronic cancellations; non-payment of charges; breach of these Terms; complaints from Drivers or consignees; suspected fraud; legal or regulatory direction; or risk to the integrity of the Platform. Termination shall not relieve you of accrued obligations, including outstanding payments, taxes, or claims.
17. Disclaimers
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant the identity, conduct, vehicle condition, or financial reliability of any Driver beyond performing the KYC and verification steps described above. You are responsible for satisfying yourself as to a Driver's fitness for a particular Load.
18. Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under these Terms to the extent caused by events beyond its reasonable control, including acts of God, pandemic, war, riot, civil disturbance, government action, network or internet outage, road blockade, strike, or other industrial dispute.
19. Governing Law, Jurisdiction & Arbitration
These Terms are governed by, and construed in accordance with, the laws of India. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction. Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration before a sole arbitrator appointed by Loadindo, conducted in English in Bengaluru, in accordance with the Arbitration and Conciliation Act, 1996. In matters concerning cyber contraventions, jurisdiction shall additionally lie with the Adjudicating Officer under the IT Act.
20. Grievance Redressal
In compliance with the IT Act and the Intermediary Guidelines, the Grievance Officer may be contacted at grievance@ntruck.com. Grievances will be acknowledged within forty-eight (48) hours and resolved within one (1) month of receipt. General support queries may be addressed to support@ntruck.com.
21. General Provisions
- Assignment: You may not assign your rights under these Terms; Loadindo may assign to an affiliate or successor.
- Severability: If any provision is held unenforceable, the remainder shall continue in force.
- Waiver: No failure to enforce a provision shall constitute a waiver of any rights.
- Entire Agreement: These Terms, together with the Privacy Policy and any policies referenced, constitute the entire agreement between you and Loadindo.
- Language: The English version of these Terms shall prevail over any translation.
- Survival: Sections relating to payments, IP, indemnity, confidentiality, limitation of liability, governing law, and arbitration survive termination.
